Scope of Services: The specific services to be provided will be detailed in a Statement of Work (SOW) or project agreement.

• Payment Terms: Payment terms will be specified in the invoice or contract, including payment schedules and methods. Late payments may incur interest charges.
• Confidentiality: Both parties agree to maintain the confidentiality of all sensitive information, including trade secrets, customer data, and intellectual property.
• Intellectual Property: Ownership of intellectual property created during the provision of services will be determined in the SOW or contract.
• Limitation of Liability: SecureV2’s liability for any damages shall be limited to the fees paid by the client for the specific services in question.
• Termination: Either party may terminate the agreement with written notice, subject to the terms outlined in the contract.
• Governing Law and Dispute Resolution: This agreement shall be governed by the laws of India. Any disputes shall be resolved through arbitration or litigation in Bangalore.
• Service Level Agreements (SLAs): SLAs will be defined in the contract, outlining performance metrics, response times, and uptime guarantees.
• Change Management: Any changes to the scope of services must be documented in a written change order.
• Indemnification: The client agrees to indemnify and hold SecureV2 harmless from any claims arising from their use of our services.
• Data Retention and Destruction: SecureV2 will follow data retention and destruction policies in compliance with relevant regulations.
• Force Majeure: Neither party shall be liable for delays or failures due to events beyond their reasonable control.
• Client Responsibilities: The customer agrees to provide all needed access, and information for secureV2 to complete the agreed upon work. This also includes the client making sure that they have the legal right to provide any information that is given to secureV2.
• Audit Rights: SecureV2 reserves the right to audit the client’s use of our services to ensure compliance with this agreement.
